By bringing together Patrick's integrated design-to-delivery capabilities with Lippert's expertise in highly engineered, structural OEM, and aftermarket components, the combined company will offer a broader, more innovative, and affordable portfolio across a diverse range of OEMs and consumers, strengthening value chain alignment, delivering outstanding customer service, and supporting long-term growth.

The transaction also provides compelling benefits for Patrick and LCI shareholders, including through delivery of an estimated $150M+ of run-rate cost synergies within three years of closing.

Patrick CEO Andy Nemeth will serve as CEO of the combined company. The Board of Directors of the combined company will consist of 12 directors, with six designated by Patrick and six designated by LCI Industries. Patrick Director Todd Cleveland will serve as Chair of the Board. LCI Industries Interim CEO and Director Johnny Sirpilla will serve as Vice Chair of the Board.

The combined executive management team will draw on leadership from both Patrick and Lippert.

The combination gives OEM and aftermarket customers access to a broader product portfolio spanning interior, exterior, structural, and mechanical systems, expanded R&D capabilities, and faster speed-to-market — all from a single, trusted partner.

The combined company will be headquartered in Elkhart, Indiana.

The transaction has been unanimously approved by the Boards of Directors of both companies and is expected to close in the first half of 2027, subject to approval by shareholders of both companies, the receipt of required regulatory approvals and the satisfaction of other customary closing conditions.
